CCP Approves Shareholding Acquisition in Heavy Electrical Complex

The Competition Commission of Pakistan (CCP) has approved the acquisition of certain shareholding in Heavy Electrical Complex (Private) Limited (HEC) by DW Pakistan (Private) Limited from IMS Engineering (Private) Limited under a share purchase agreement.


Details of the Companies
  • Acquirer (DW Pakistan Pvt. Ltd.): Focused on investments and acquisitions across multiple sectors. It is currently not active in the fields of manufacturing, engineering, or energy.

  • Target (HEC Pvt. Ltd.): Specializes in the manufacturing and repair of power transformers, including high-capacity units used in Pakistan’s power transmission and distribution systems.

  • Seller (IMS Engineering Pvt. Ltd.): Provides engineering, procurement, construction (EPC), and commissioning services.


CCP’s Competition Review

The CCP identified the relevant product market as power transformers. After review, the Commission concluded that the transaction is a conglomerate merger and does not remove any existing or potential competitor from the market.

The analysis further confirmed that the acquisition would not create or strengthen a dominant position in the power transformer market of Pakistan.
