Telenor Pakistan and Ufone Merge Under PTML as PTCL Begins Independent Operations

Pakistan’s telecommunications sector has entered a new phase as Telenor Pakistan and Ufone have officially merged into a single mobile company operating under Pakistan Telecom Mobile Limited (PTML).

As part of the restructuring approved by the Competition Commission of Pakistan (CCP), Pakistan Telecommunication Company Limited (PTCL) will now operate as a separate company, independent of the merged mobile business.

Mobile Operations Unified

Under the new structure, Telenor Pakistan and Ufone will combine their mobile network infrastructure, customer operations, and business resources within PTML.

The merger is intended to streamline mobile operations while creating a unified telecom business serving customers across Pakistan.

According to reports, the restructuring follows conditions set by the Competition Commission of Pakistan, which required PTCL to remain a separate legal and operational entity rather than becoming part of the merged mobile company.

PTCL to Operate Separately

With the restructuring now in effect, PTCL will continue its operations independently, maintaining its own management and board of directors.

The separation means the merged PTML will focus exclusively on mobile telecommunications, while PTCL will continue managing its fixed-line, broadband, and related services.

Leadership Changes at PTCL

PTCL has also announced changes to its leadership.

The company has appointed Mohammad Nadeem Khan as its interim Chief Executive Officer for a period of 14 days, effective from July 2, 2026, replacing Hatem Mohamed Bamatraf.

In addition, PTCL’s Board of Directors has been restructured following recent management changes.

The company confirmed that Khaled Hegazy and Marwan Bin Shakar stepped down from the board, while Mohamed Dukandar and Sabri Ali Yehya have joined as new directors.

The reconstituted board is chaired by Zarrar Hasham Khan and includes nine members responsible for overseeing the company’s future strategy.

New Structure for the Telecom Group

Following the restructuring, PTML will serve as the group’s dedicated mobile telecommunications business through the combined operations of Telenor Pakistan and Ufone.

Meanwhile, PTCL will continue to operate independently in accordance with the regulatory framework established by the Competition Commission of Pakistan.
